GroupBuyHub Inc. Terms of Use
Effective and last updated: October 14, 2026
These Terms of Use ("Terms") are a legally binding agreement between you and GroupBuyHub Inc. ("GroupBuyHub", "we", "us", or "our"). They apply when you access or use the GroupBuyHub website, applications, and related services (collectively, the "Services"). Please also read our Privacy Policy, which explains how we handle personal information.
By selecting an acceptance control, creating an account, or otherwise accessing or using the Services, you confirm that you have read and agree to these Terms. If you do not agree, do not create an account or use the Services. If you use the Services on behalf of a business or other organization, you represent that you are authorized to bind it to these Terms; in that case, "you" also refers to that organization.
1. The Services
GroupBuyHub provides online tools that may let people discover, post, join, or manage group deals and projects; communicate with other users; and find businesses offering related goods or services. GroupBuyHub operates the platform and is not, merely by operating it, the buyer, seller, employer, agent, partner, insurer, or guarantor of another user's or vendor's offer or performance. Features may change or may not be available in every location.
Unless a transaction flow expressly identifies GroupBuyHub as the seller or service provider, the user or vendor who publishes an offer is responsible for its accuracy, legality, availability, fulfillment, and customer service. GroupBuyHub does not endorse or guarantee users, vendors, listings, products, services, or transaction outcomes.
2. Accounts and eligibility
- You must be at least the age of majority where you live and legally able to enter into a binding agreement. In Ontario, the age of majority is 18.
- Provide accurate account information and keep it reasonably up to date.
- Keep your sign-in credentials secure and promptly tell us if you believe your account has been accessed without permission.
- You are responsible for activity through your account, except to the extent it results from our breach of these Terms or applicable law.
- Do not impersonate another person, create an account using information you are not authorized to use, or transfer your account to someone else without our permission.
We may require identity, contact, business, or other verification information to protect the Services, meet legal obligations, or enable certain features. You authorize us and our service providers to use information you submit for those purposes, as described in the Privacy Policy. Verification does not guarantee a person's conduct, credit, qualifications, or future performance.
You agree that we may send you account, security, transaction, and legal notices electronically, including through the Services or to the email address associated with your account. Keep that address current and check it regularly. You may opt out of promotional messages using the instructions in those messages; opting out does not stop essential account, security, or transaction communications.
3. User and vendor roles
A user account represents an individual. A user who wants to publish a business profile or offer as a vendor may need to submit information for verification and receive approval. Approval is not guaranteed. Each approved account may manage one vendor business profile. A separate business must be represented by a separate eligible owner or manager account and complete the applicable verification process.
Vendors are responsible for keeping their business details, address, offers, prices, availability, and other listing information accurate and lawful. A vendor must have authority to represent the business and provide the goods or services it lists, hold required licences and permits, comply with applicable consumer-protection, tax, privacy, accessibility, and advertising laws, and honour accepted transactions. Additional vendor terms and feature-specific terms may apply and form part of your agreement with us where presented to you.
4. Your content and conduct
You retain rights you hold in content you submit, such as profile information, messages, reviews, project details, and business listings ("User Content"). You give GroupBuyHub permission to host, store, display, reproduce, adapt for technical display, and distribute User Content worldwide, royalty-free, and non-exclusively, solely as reasonably necessary to operate, provide, maintain, protect, and improve the Services and to display content to the audiences and recipients you select. This licence permits our service providers to process the content for those purposes. It ends when you or we remove the content from the Services, except that copies may persist in backups, legal or business records, materials already shared by others, or where retention is otherwise permitted by law or the Privacy Policy.
You are responsible for your User Content. You represent that you have the rights and permissions needed to submit it and grant the licence above, and that its submission and use as permitted by these Terms do not violate law or another person's rights. Do not submit confidential, sensitive, or personal information about someone else unless you are authorized to do so.
You agree not to:
- break the law or violate another person's rights;
- post content that is deceptive, fraudulent, defamatory, threatening, harassing, exploitative, or unlawfully discriminatory;
- post malware, spam, or content that disrupts or damages the Services;
- misrepresent a product, service, business, price, availability, or your authority to act for another person or business;
- post content that infringes intellectual-property, privacy, publicity, or other rights;
- use the Services to send unsolicited commercial messages or collect, disclose, or misuse another person's information without authorization;
- scrape, harvest, reverse engineer, probe, interfere with, or attempt to gain unauthorized access to the Services or related systems, except to the extent a restriction is prohibited by law; or
- circumvent security, access controls, transaction fees, or limits, or use the Services to facilitate fraud, money laundering, or other unlawful activity.
We may, but are not obligated to, monitor or review User Content. We may remove, restrict, or disable content or accounts when we reasonably believe it violates these Terms, creates risk, harms the Services or another person, or must be addressed for legal compliance. We may preserve and disclose information when reasonably necessary to comply with law, enforce these Terms, or protect rights, safety, and security.
If you believe content on the Services infringes your intellectual-property rights or is unlawful, contact us through the contact form with the location of the content, the basis for your request, and information reasonably necessary for us to assess it. Do not knowingly submit a false or misleading complaint.
5. Payments, fees, and transactions
Some features or transactions may involve payment, deposits, commissions, or other fees. Any amount, timing, and applicable terms will be shown in the relevant feature or transaction flow before you commit. You authorize the displayed payment method to be charged the amounts you approve, including applicable taxes and disclosed fees. Vendors are responsible for reviewing and accepting applicable commissions or fees before publishing or accepting a paid transaction.
Payments may be processed by third-party payment providers, whose terms and privacy practices also apply. You authorize us and the payment provider to share the payment and transaction information needed to process, verify, secure, and administer a transaction. Do not send full payment-card details through messages or listing fields.
Before completing a transaction, review the offer, seller, total price, taxes, delivery or performance details, cancellation terms, and any eligibility or expiry conditions shown. Refunds, cancellations, deposits, chargebacks, and dispute procedures are governed by the terms disclosed for that transaction, the payment provider's rules, and applicable law. Any mandatory pre-contract disclosure, delivery of an agreement or receipt, cancellation right, refund, or other consumer protection required by applicable law continues to apply and prevails over an inconsistent term here. Nothing in these Terms removes a consumer right or remedy that cannot lawfully be waived. Contact the vendor or seller first about fulfillment issues; you may also contact us through the contact form.
You are responsible for taxes, duties, or similar charges imposed on your purchase or business activity, except taxes on GroupBuyHub's own income. Vendors are responsible for determining, collecting, reporting, and remitting taxes applicable to their offerings, unless applicable law requires otherwise. GroupBuyHub does not provide tax, legal, or accounting advice.
6. Intellectual property
The Services, including GroupBuyHub branding, software, and materials provided by GroupBuyHub, are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive, non-transferable permission to use the Services for their intended purpose, subject to these Terms. No other rights are granted. Do not copy, modify, distribute, sell, or create derivative works from our software, branding, or materials except as permitted by law or with our written permission.
7. Third-party services and links
The Services may link to or rely on third-party websites and services. Those services are provided by others and are governed by their own terms and policies. GroupBuyHub does not control and is not responsible for third-party services, except where applicable law provides otherwise.
8. Suspension and termination
You may stop using the Services at any time. We may suspend or restrict access, or close an account, where reasonably necessary for security, suspected fraud or misuse, a breach of these Terms, operational reasons, or legal compliance. Where reasonably practicable and permitted by law, we will provide notice and an opportunity to address the issue. You may request account closure through the available account tools or contact us. Closing an account does not cancel completed transactions, outstanding payment obligations, or rights and obligations that by their nature continue after closure.
9. Indemnity
To the extent permitted by law, you will indemnify and hold harmless GroupBuyHub and its directors, officers, employees, and agents from third-party claims, losses, liabilities, and reasonable costs (including legal fees) arising from your User Content, your use of the Services in breach of these Terms or law, or your infringement of another person's rights. You are not responsible under this section to the extent a claim results from GroupBuyHub's negligence, wilful misconduct, breach of these Terms, or violation of law. We will give you reasonably prompt notice of a covered claim and reasonable cooperation; you may not settle a claim in a way that imposes an obligation or admission on us without our consent.
10. Disclaimers and liability
We will provide the Services with the care and skill required by applicable law. Except for express commitments in these Terms and to the extent permitted by law, we make no other warranty or condition, express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement. We do not promise uninterrupted or error-free operation, or that the Services will meet every requirement. We do not warrant or guarantee third-party listings, goods, services, or conduct.
To the extent permitted by law, neither party will be liable to the other for indirect, incidental, special, exemplary, punitive, or consequential loss, or loss of profits, revenue, opportunity, goodwill, or data, arising out of these Terms or the Services, even if advised that such loss was possible. To the extent permitted by law, GroupBuyHub's total liability for claims arising out of or relating to the Services or these Terms will not exceed the greater of (a) the amounts you paid directly to GroupBuyHub for the relevant Services in the 12 months before the event giving rise to the claim, or (b) CAD $100.
The exclusions and limits above do not apply to liability that cannot be excluded or limited by law, including any applicable non-waivable consumer rights, or to the extent a loss is caused by fraud, wilful misconduct, or a party's gross negligence where the law prohibits that limitation. Nothing in these Terms limits a remedy that applicable law requires to remain available.
11. Disputes and governing law
Before starting a formal proceeding, you and GroupBuyHub agree to try to resolve a dispute informally by contacting the other party and providing a reasonable opportunity to respond. This does not prevent either party from seeking urgent interim relief or taking steps necessary to preserve a legal right or meet a limitation period.
These Terms and any dispute arising from them or the Services are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law rules. Subject to any non-waivable right to bring a claim elsewhere, the parties submit to the jurisdiction of the courts of Ontario. If you are a consumer, this provision does not deprive you of mandatory protections or forums available under the law that applies to you.
12. Changes to these Terms
We may update these Terms when the Services or applicable requirements change. We will post the revised Terms and update the date at the top. Where a change materially affects your rights or where law requires it, we will provide reasonable notice and obtain your consent if required. A revision applies from its stated effective date; continued use after that date constitutes acceptance only where legally effective. If you do not agree to a revision, stop using the Services and close your account.
13. General terms
- Entire agreement: These Terms, the Privacy Policy, and any additional terms presented for a feature or transaction form the agreement between you and GroupBuyHub about the Services and replace prior agreements on that subject.
- Severability: If a provision is unenforceable, it will be modified to the minimum extent necessary to make it enforceable or, if that is not possible, severed. The remaining provisions remain effective.
- No waiver: A failure or delay in enforcing a provision is not a waiver of it.
- Assignment: You may not assign these Terms or your account without our prior written consent. We may assign these Terms as part of a merger, reorganization, or transfer of our business, subject to applicable law.
- Force majeure: Neither party is responsible for delay or failure caused by events beyond its reasonable control, except that this does not excuse payment obligations already due or obligations that law does not permit to be excused.
- Independent parties: These Terms do not create a partnership, joint venture, employment, franchise, fiduciary, or agency relationship between you and GroupBuyHub.
- Survival: Provisions that by their nature should continue after account closure or termination will survive, including payment obligations, intellectual-property rights, disclaimers, liability limits, indemnity, and dispute provisions.
